Welcome to Emergent Metering, operated by Emergent Energy Solutions, LLC ("EES," "we," "us," or "our"), a Pennsylvania limited liability company headquartered in West Chester, PA. Emergent Metering operates this website and online store at emergentmetering.com, including all related content, tools, products, and services (the "Services").

Our online store is powered by Shopify for e-commerce transactions. By visiting, browsing, or purchasing through our Services, you agree to be bound by these Terms of Service ("Terms") and our [Privacy Policy](/policies#privacy). If you do not agree, you should not use the Services.

SECTION 1 — ACCESS AND ACCOUNT

By using the Services, you represent that you are at least 18 years of age or the age of majority in your jurisdiction. You consent to any minor dependents using the Services on devices you own or manage.

To browse products or make purchases, you may be asked to provide your name, email address, billing, payment, and shipping information. You represent and warrant that all information you provide is accurate, current, and complete. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You may not transfer or assign your account to another person.

SECTION 2 — PRODUCTS AND SERVICES

Emergent Metering provides commercial and industrial energy metering products, including electric submeters, water meters, BTU meters, compressed air meters, steam flow meters, natural gas meters, integration controllers, and related accessories from manufacturers including Panoramic Power, Leviton/Obvius, VP Instruments, Sage Metering, VorTek Instruments, Fluke, IFM, Keyence, and others.

We also offer managed intelligence services including energy analytics, anomaly detection, threshold alerting, and compliance reporting through our analytics platform.

We make every effort to display accurate product descriptions, specifications, and images. However, product colors and appearance may vary due to your device display settings. All product descriptions, pricing, and availability are subject to change without notice at our sole discretion. We reserve the right to discontinue any product or limit quantities offered.

SECTION 3 — ORDERS AND PURCHASES

When you place an order, you are making an offer to purchase. EES reserves the right to accept or decline any order at our discretion. Your order is not accepted until we confirm acceptance and process your payment.

Please review your order carefully before submitting. We may be unable to accommodate cancellation requests after an order is accepted. If we cannot fulfill, modify, or must cancel an order, we will notify you using the contact information provided at the time of purchase.

Products purchased through emergentmetering.com are intended for commercial, industrial, or institutional use. All purchases are subject to our [Return & Refund Policy](/policies#returns).

SECTION 4 — PRICING AND PAYMENT

All prices are listed in U.S. dollars. Prices, discounts, and promotions are subject to change without notice. The price charged will be the price displayed at the time your order is placed, as confirmed in your order confirmation email.

Unless otherwise stated, posted prices do not include applicable taxes, shipping, handling, or customs charges. Promotional pricing is governed by separate terms; in the event of a conflict, promotional terms prevail.

You agree to provide accurate and complete payment information. You represent and warrant that you are authorized to use the payment method provided and that all charges will be honored by your payment provider.

SECTION 5 — SHIPPING AND DELIVERY

All delivery timeframes are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, weather, or other events outside our control. Once products are transferred to the carrier, title and risk of loss pass to you.

For metering hardware and sensors, EES may offer installation coordination as a separate service. Installation services are governed by a separate Statement of Work.

SECTION 6 — PRODUCT WARRANTIES AND TECHNICAL SUPPORT

Metering hardware sold through emergentmetering.com is covered by the applicable manufacturer's warranty. EES does not provide independent product warranties beyond those offered by the manufacturer, except where expressly stated in a signed service agreement.

Technical support, configuration assistance, and system integration services are available through our [Product Support](/support) page. Support response times and scope depend on the service tier selected.

For Panoramic Power sensors and bridges, warranty terms are governed by Panoramic Power (Centrica Business Solutions). For Leviton/Obvius products, warranty terms are governed by Leviton Manufacturing. Contact sales@emergentenergy.us for warranty claims assistance.

SECTION 7 — INTELLECTUAL PROPERTY

All content on the Services — including text, graphics, images, product descriptions, technical specifications, data visualizations, blog articles, case studies, logos, and software — is owned by EES, its affiliates, or its licensors and is protected by U.S. and international intellectual property laws.

You may access the Services for your own business use. You may not reproduce, distribute, modify, create derivative works of, or publicly display any content from the Services without our prior written consent.

"Emergent Metering," "Emergent Energy Solutions," the Emergent logo, and related product and service names are trademarks of Emergent Energy Solutions, LLC. Manufacturer names, logos, and product names (including Panoramic Power, Leviton, VP Instruments, Fluke, etc.) are trademarks of their respective owners and are used with authorization or under fair use for product identification purposes.

Shopify's name and logo are trademarks of Shopify Inc.

SECTION 8 — DATA AND ENERGY ANALYTICS

If you purchase managed intelligence or analytics services, the following terms apply:

**Data Ownership**: You retain ownership of your energy consumption data. EES may use anonymized and aggregated data for benchmarking, product improvement, and research purposes.

**Data Security**: Energy data transmitted through our analytics platform is encrypted in transit and at rest. Access controls are maintained in accordance with industry best practices.

**Data Retention**: Your energy data is retained for the duration of your service agreement plus 90 days. Upon termination, you may request data export in standard formats (CSV, JSON).

SECTION 9 — THIRD-PARTY SERVICES AND LINKS

The Services may contain links to third-party websites, tools, or embedded functionality (including manufacturer product resources, data integrations, and analytics platforms). We do not control or endorse third-party content and are not responsible for its accuracy or availability.

Your use of third-party tools or websites is at your own risk and subject to the third party's own terms and policies.

SECTION 10 — RELATIONSHIP WITH SHOPIFY

Emergent Metering's online store is powered by Shopify, which provides e-commerce infrastructure. All sales and purchases are made directly with Emergent Energy Solutions, LLC — not with Shopify. By using the Services, you acknowledge that Shopify is not responsible for any aspect of transactions between you and EES and you release Shopify and its affiliates from all related claims and liabilities.

SECTION 11 — PRIVACY

Personal information collected through the Services is handled in accordance with our [Privacy Policy](/policies#privacy). Because the Services are hosted on Shopify's platform, certain personal information is also subject to [Shopify's Privacy Policy](https://www.shopify.com/legal/privacy). Information you submit may be transmitted to and processed by service providers located in jurisdictions outside your country of residence.

SECTION 12 — USER-SUBMITTED CONTENT

If you submit reviews, feedback, project inquiries, support requests, or other content ("User Content"), you grant EES a perpetual, worldwide, royalty-free license to use, reproduce, modify, and display such content for business purposes including service improvement, marketing, and case study development.

You represent that you own or have rights to all User Content you submit, that it does not violate any third party's rights, and that it does not contain false, misleading, or unlawful material.

SECTION 13 — ERRORS AND CORRECTIONS

Information on the Services may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, specifications, or availability. We reserve the right to correct errors and update information at any time without notice, including after an order has been submitted.

SECTION 14 — PROHIBITED USES

You may use the Services only for lawful purposes. You may not:

(a) Use the Services for any unlawful, fraudulent, or malicious purpose; (b) violate any applicable laws or regulations; (c) infringe EES's or any third party's intellectual property rights; (d) harass, abuse, or harm any person; (e) transmit false or misleading information; (f) transmit viruses, malware, or any code designed to disrupt the Services; (g) send unsolicited advertising, spam, or promotional material; (h) impersonate any person or entity; (i) use robots, scrapers, automated tools, or AI agents to access, extract data from, or interact with the Services without our written consent; or (j) attempt to bypass security features, access controls, or rate limits.

We reserve the right to suspend or terminate your access at any time without notice for violation of these Terms.

SECTION 15 — TERMINATION

We may terminate these Terms or your access to the Services at any time without notice. You remain liable for all amounts due through the date of termination. Sections 7 (Intellectual Property), 8 (Data), 12 (User Content), 16 (Disclaimer), 17 (Limitation of Liability), 18 (Indemnification), and 22 (Governing Law) survive termination.

SECTION 16 — DISCLAIMER OF WARRANTIES

THE SERVICES AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. PRODUCT PERFORMANCE DEPENDS ON INSTALLATION CONDITIONS, SYSTEM CONFIGURATION, AND ENVIRONMENTAL FACTORS OUTSIDE OUR CONTROL.

SOME JURISDICTIONS DO NOT ALLOW DISCLAIMER OF IMPLIED WARRANTIES, SO THE ABOVE MAY NOT APPLY TO YOU.

SECTION 17 — LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, EES, SHOPIFY, AND THEIR RESPECTIVE AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR REPLACEMENT COSTS, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCTS PURCHASED THROUGH THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO EES IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

## SECTION 18 — INDEMNIFICATION

You agree to indemnify and hold harmless EES, Shopify, and their respective affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (1) your breach of these Terms; (2) your violation of any law or third-party rights; or (3) your use of the Services.

## SECTION 19 — SEVERABILITY

If any provision of these Terms is found to be unlawful or unenforceable, the remaining provisions continue in full force and effect.

## SECTION 20 — ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and Return Policy, constitute the entire agreement between you and EES regarding the Services and supersede all prior agreements and understandings.

## SECTION 21 — ASSIGNMENT

You may not assign or transfer these Terms without our written consent. EES may assign these Terms without restriction.

## SECTION 22 — GOVERNING LAW

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the federal or state courts located in Chester County, Pennsylvania. You consent to the personal jurisdiction of such courts.

## SECTION 23 — CHANGES TO TERMS

We may update these Terms at any time by posting the revised version on this page. Material changes will be effective on the date specified in the notice. Your continued use of the Services after any changes constitutes acceptance of the updated Terms.
